Please read these terms carefully before using TaraBase CRM.

1.About These Terms

These Terms of Service govern your access to and use of TaraBase CRM (‘TaraBase’), a software platform operated by Vivek Tailor Pty Ltd (‘we’, ‘us’ or ‘our’).

TaraBase is operated from Australia. Website: www.tarabase.com.au. Support: admin@tarabase.com.au. ABN/ACN: [to be inserted once verified].

In these Terms, ‘you’ or ‘Customer’ means the individual, business or agency that registers for or uses TaraBase, and includes any person who uses TaraBase under your account.

2.Acceptance of Terms

By registering for an account, expressly accepting these Terms, or accessing or using TaraBase, you agree to be bound by these Terms. If you do not agree, you must not use TaraBase.

By using TaraBase, you confirm that you:

  • are at least 18 years old;
  • have provided accurate and complete registration information and will keep it up to date;
  • will maintain the security and confidentiality of your account credentials;
  • will use TaraBase only for lawful business purposes;
  • have authority to enter into these Terms on behalf of your business or agency, where applicable; and
  • will comply with all applicable laws and regulations.

TaraBase may require administrator approval before activating new accounts. We may decline an account application on reasonable and lawful grounds. Registration does not automatically guarantee approval.

3.Description of Services

TaraBase is a customer relationship management platform designed primarily for real estate professionals. Depending on your subscription plan, features may include:

  • contact and property management;
  • prospect, appraisal, listing and sales tracking;
  • tasks and calendar;
  • notes and communication records;
  • gross commission income (GCI) tracking and agent commission splits;
  • performance reporting, reporting and analytics;
  • AI-assisted data entry and voice-to-text functionality;
  • email and SMS workflows;
  • My Prospector; and
  • third-party integrations.

Features vary by subscription plan. We may introduce improvements, updates or modifications to TaraBase from time to time. Material changes affecting existing paid subscriptions will be managed in accordance with applicable law and our contractual obligations to you.

4.Subscription Plans and Pricing

TaraBase offers three subscription options.

Basic Plan — $22 AUD per month, including GST

Includes standard TaraBase CRM functionality. Excludes My Prospector.

Pro Plan — $45 AUD per month, including GST

Includes all Basic functionality plus My Prospector.

For both Basic and Pro:

  • billing is monthly;
  • there is no lock-in contract;
  • you may cancel at any time;
  • there are no cancellation penalties; and
  • the subscription automatically renews monthly until cancelled.

Enterprise — Custom CRM Solutions

Initial setup and development fees start at $18,000 AUD [GST treatment to be confirmed]. Ongoing monthly fees vary depending on custom functionality, development requirements, number of users, third-party integrations, hosting, infrastructure, maintenance, technical support and any additional services.

Enterprise customers will enter into a separate written agreement covering scope of work, deliverables, development timelines, payment milestones, initial setup costs, ongoing fees, intellectual property arrangements, support arrangements, cancellation conditions and termination rights. Enterprise cancellation arrangements may differ from those that apply to Basic and Pro. If there is any inconsistency between these Terms and an Enterprise agreement, the Enterprise agreement prevails to the extent of the inconsistency.

5.Free Trials

TaraBase may offer free trials to eligible new customers. Where offered:

  • trial availability is determined by TaraBase;
  • the trial duration will be displayed during registration;
  • certain features may be restricted during the trial;
  • administrator approval may be required;
  • TaraBase may limit repeated trial registrations;
  • you will be informed of applicable charges before entering a paid subscription; and
  • you will not be moved to a paid subscription unless you expressly authorise recurring paid billing.

6.Payments and Billing

Basic and Pro subscriptions are billed monthly in advance. By subscribing, you authorise TaraBase (and its authorised payment providers) to charge recurring subscription payments to your nominated payment method until you cancel.

  • You must maintain valid and current payment information.
  • Subscriptions renew automatically at the end of each billing period until cancelled.
  • If a payment fails, we will notify you and may restrict access to your account if the payment is not resolved within a reasonable period after notice.
  • We may change subscription prices by giving you reasonable advance notice. You may cancel before a notified price increase takes effect.
  • Payments may be processed by third-party payment providers whose own terms may apply.

Basic and Pro prices are inclusive of Australian GST.

7.Cancellation Policy

Basic and Pro: cancel anytime.

No lock-in contracts. No cancellation penalties. No minimum commitment beyond your current billing period.

Cancellation stops future renewals. You will ordinarily keep access to TaraBase until the end of your current paid billing period.

Unused portions of a subscription period are generally not refundable for change-of-mind cancellations. However, you retain all refund rights and remedies available to you under the Australian Consumer Law.

To cancel, or for help with cancellation, contact admin@tarabase.com.au. Enterprise cancellation is governed by the relevant separate written agreement.

8.Customer Data Ownership

TaraBase is a software provider. We are not the owner of your client database. ‘Customer Data’ means information you or your users upload to or create in TaraBase, which may include contact names, mobile numbers, email addresses, property addresses, property ownership information, buyer and vendor records, appraisal, listing and sales information, notes, tasks, documents, communication history and commission information.

  1. You retain ownership of your uploaded Customer Data, to the extent you hold those legal rights.
  2. TaraBase does not claim ownership of customer databases.
  3. You grant TaraBase a limited, non-exclusive licence to host, store and process Customer Data only as needed to provide the contracted services and for other purposes you expressly authorise.
  4. TaraBase will not sell customer databases to third parties.
  5. TaraBase will not provide customer databases to competing real estate agencies for marketing or prospecting.
  6. TaraBase will not independently use your contacts’ information for unrelated marketing without appropriate authorisation.
  7. You remain responsible for ensuring you have the legal right to collect, upload and process the personal information contained in your Customer Data.

9.Customer Data Export Rights

You may request an export of your Customer Data, including when you decide to leave TaraBase. Where technically available, exports may include contacts and contact details, property records, appraisal records, listing information, sales records, notes, tasks and other relevant information you have created.

We aim to provide exports in commonly used, machine-readable formats such as CSV or Excel where technically available.

You will have a reasonable opportunity to export your Customer Data before your account is permanently closed. For export assistance, contact admin@tarabase.com.au.

Exports may be subject to reasonable technical, security and legal restrictions. We may need to verify the requesting person’s authority before releasing data. Exports will not include information belonging to other customers or third parties that you are not entitled to access.

10.Data Retention and Deletion

Cancelling your account may affect your access to Customer Data stored in TaraBase. We handle retention and deletion in accordance with our Privacy Policy, applicable legal obligations, relevant contractual requirements and reasonable operational and security requirements.

You should request your data export before permanent account closure. We do not guarantee indefinite storage of data relating to cancelled accounts.

11.Privacy and Confidentiality

TaraBase respects the confidentiality of your information. We may process Customer Data to operate the CRM, provide support, maintain account security, deliver integrations you authorise, troubleshoot issues, maintain platform reliability and meet legal obligations.

We may engage authorised third-party service providers for hosting, infrastructure, communications, AI functionality, payment processing and technical support, subject to appropriate privacy and confidentiality safeguards. We will not intentionally disclose customer databases to unauthorised parties.

12.Data Security

TaraBase takes reasonable measures to protect information stored within the platform. These may include authentication, user access controls, separation of customer workspaces, restricted administrative access, secure data transmission, security monitoring and infrastructure safeguards.

You are responsible for:

  • maintaining password security;
  • preventing unauthorised access to your account;
  • managing your staff’s permissions; and
  • promptly reporting suspected security incidents to admin@tarabase.com.au.

No internet-based service can guarantee absolute security.

13.Artificial Intelligence Features

TaraBase may offer AI-assisted functionality (including Tara AI), such as voice-to-text, contact and property information extraction, automated note organisation, task creation, CRM data entry, workflow recommendations and prospecting assistance.

  • AI-generated information may contain errors, omissions or inaccuracies.
  • You must review important information before relying on it.
  • TaraBase does not guarantee that AI outputs are complete or error-free.
  • You remain responsible for your business decisions and communications.
  • AI features must not be used for unlawful profiling, discrimination or unauthorised processing of personal information.

14.My Prospector

My Prospector is available to Pro subscribers and other expressly authorised users. It may assist you to identify relevant contacts and conduct prospecting activities using your CRM information. You are responsible for:

  • having appropriate rights to use contact information;
  • complying with privacy legislation, including the Privacy Act 1988 (Cth) where applicable;
  • complying with the Spam Act 2003 (Cth);
  • obtaining any necessary marketing consent;
  • honouring unsubscribe requests; and
  • ensuring your communications comply with applicable laws.

TaraBase does not independently verify every contact’s marketing consent and does not guarantee that prospecting will result in listings, appraisals, sales or revenue.

15.Email, SMS and Telephony

TaraBase may offer communication functionality — such as email, SMS, click-to-call, communication logging and contact activity tracking — through third-party integrations or device-based features.

You are responsible for the legality and content of communications sent through TaraBase and must not send unlawful spam, harassing or misleading messages. Third-party services may charge additional fees. We cannot guarantee uninterrupted availability of external telecommunications providers.

16.Third-Party Integrations

TaraBase may integrate with external providers such as email platforms, SMS providers, telephony services, other real estate CRM systems, cloud storage providers, AI providers and payment processors. These services may have their own terms. You are responsible for maintaining any required third-party accounts, permissions and subscriptions. Subject to applicable law, TaraBase does not guarantee uninterrupted operation of external integrations.

17.Acceptable Use

You must not:

  • use TaraBase for unlawful activities;
  • upload unlawfully obtained personal information;
  • access another customer’s account without authorisation;
  • attempt to bypass security controls;
  • distribute malicious software or interfere with platform infrastructure;
  • send unlawful unsolicited marketing;
  • engage in fraudulent activity or misrepresent your identity; or
  • reverse-engineer or copy proprietary software, except where permitted by law.

We may investigate suspected misuse and take reasonable and proportionate action.

18.Intellectual Property

TaraBase retains ownership of its proprietary intellectual property, including its software, source code, platform design, branding, logos, proprietary functionality, user interface elements and original documentation. During an active subscription you receive a limited, non-exclusive, non-transferable right to access and use TaraBase. Subscription payments do not transfer ownership of TaraBase software. You retain your rights in your Customer Data. Enterprise intellectual property arrangements will be set out in a separate written agreement.

19.Service Availability

TaraBase aims to provide a reliable service, but temporary interruptions may occur because of scheduled maintenance, software updates, infrastructure or internet outages, third-party failures, security incidents or circumstances outside our reasonable control. TaraBase does not guarantee uninterrupted or error-free operation. Nothing in this section excludes rights or remedies that cannot lawfully be excluded.

20.Limitation of Liability

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded, restricted or modified under the Australian Consumer Law or other applicable law.

Where our liability for failure to comply with a consumer guarantee can lawfully be limited, it is limited, at our option, to resupplying the services or paying the cost of having the services supplied again.

To the maximum extent permitted by law, TaraBase is not liable for loss arising from:

  • software outages or temporary interruptions outside our reasonable control;
  • inaccurate or incomplete data entered by you or your users;
  • AI-generated inaccuracies that were not reviewed before reliance;
  • failures of third-party integrations or services;
  • unauthorised activity resulting from your failure to secure your account;
  • business decisions made using information in the platform; or
  • loss of business opportunities, listings or commissions.

To the maximum extent permitted by law, TaraBase is not liable for any indirect or consequential loss, including loss of profits, revenue, commissions, opportunity or goodwill.

Subject to the above, TaraBase’s total aggregate liability under or in connection with these Terms is limited to [liability cap to be determined following legal review].

Our liability is reduced to the extent any loss is caused or contributed to by you or your users.

21.No Guarantee of Business Results

TaraBase provides software tools to assist real estate professionals. We do not guarantee additional listings, appraisals or sales, increased commissions, successful prospecting outcomes or any particular financial result. You remain responsible for your business operations and commercial decisions.

22.Account Suspension and Termination

We may suspend or terminate an account on reasonable grounds, including non-payment, fraudulent activity, serious security risks, material breach of these Terms or unlawful use of the platform.

Where appropriate, we will give you notice and a reasonable opportunity to resolve the issue. Immediate suspension may be necessary where serious security threats or unlawful activity are involved. Termination does not affect rights or obligations that survive termination under these Terms or applicable law, including your data export rights described above.

23.Changes to Services and Pricing

We may update platform functionality and subscription pricing. We will give reasonable advance notice of material changes affecting your subscription. Price changes will not apply retrospectively to completed billing periods, and Basic and Pro customers may cancel before a notified price increase takes effect. All changes will comply with applicable Australian law.

24.Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through reasonable channels, such as email or in-platform notification, and the updated Terms will display their effective date. Changes will not unfairly remove your rights or override mandatory legal protections.

25.Governing Law

These Terms are governed by the laws of New South Wales, Australia, subject to any applicable mandatory laws. Disputes will be handled in accordance with applicable Australian legal requirements.

26.Dispute Resolution

If you have a complaint or dispute, please first contact TaraBase support at admin@tarabase.com.au. We will make reasonable efforts to investigate and resolve it. Nothing in this section prevents you from exercising statutory rights or accessing courts, tribunals or regulators where legally permitted.
